NEC manages EarthPayWise payments on any customer Payment Services integration on behalf of sellers/owner of the site (such management described as "managed payments" or similar) through designated NEC entities (each, a "payments entity"). The use of managed payments is a prerequisite for using the Services as a seller, where managed payments is available.

Liability

We, including our parent company, subsidiaries, affiliates, directors, agents, and employees, are not liable to you under contract, tort (including negligence), or any other legal theory for any business-related losses. This includes, but is not limited to, loss of data, profits, revenue, business opportunities, goodwill, reputation, or business interruptions, nor for any losses that are not reasonably foreseeable by us. These exclusions of liability apply to losses arising, directly or indirectly, from:

# Your use of, or inability to use, our services
# Pricing, postage, or any guidance provided by NEC/EarthPay Wise
# Delays or disruptions in our services
# Viruses or other malicious software obtained through accessing or linking to our services
# Glitches, bugs, errors, or inaccuracies in our services
# Damage to your hardware caused by using any of our services
# The content, actions, or inactions of third parties, including items listed using our services or the destruction of allegedly counterfeit items
# Suspension or other actions taken concerning your account due to a violation of the Abusing NEC/EarthPay Wise section
# The duration or manner in which your listings appear in search results, as outlined in the Listing Conditions section
# Modifications to your practices, content, or behavior, or your inability to conduct business, as a result of changes to this User Agreement or our policies

Legal Disputes

If a dispute arises between you and NEC or EarthPayWise brand, we strongly encourage you to first contact us directly to seek a resolution by using Contact-Us Form. NEC Customer Service is available for every user to submit complaints and other inquiries. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation. Any claim, dispute or matter arising under or in connection with this User Agreement shall be governed and construed in all respects by the laws of UK when in England and Wales or India (laws of India) or regional based on the transaction path. You and NEC both agree to submit to the non-exclusive jurisdiction of agreed courts.
